1. We do supply and deliver physical goods
Asteya designs, manufactures and integrates mechanical, electrical and electromechanical components, systems and assemblies for railway and aerospace programmes, and we source, supply, deliver, install and commission them in India and internationally.
Alongside goods we also deliver engineering services and digital services which involve no physical shipment. Where an engagement is services-only or subscription-only, this policy simply does not apply to it.
A signed contract takes precedence over this page. Where a purchase order, supply contract or delivery schedule states its own lead times, delivery term, packing specification, carrier nomination or liquidated-damages provision, that document applies instead of this policy to the extent of any inconsistency.
2. Lead times
We do not publish standard delivery times, and any that we did would be misleading. Our goods are engineered to order: lead time depends on the part, its specification and tolerances, the quantity, material and sub-supplier availability, whether tooling has to be made, and what inspection, testing or first-article approval is required.
The lead time for your order is therefore the one stated in our quotation or order confirmation, and it runs from the later of:
- our written acceptance of your order;
- receipt of any advance payment or deposit required;
- receipt of all technical information, drawings, approvals or free-issue material you are to supply; and
- your approval of any first article, sample or drawing submitted for approval.
Delivery and completion dates are estimates given in good faith and are not guaranteed unless we have expressly agreed a guaranteed date in writing. Where a delay becomes likely, we will tell you as soon as we reasonably can, with a revised date.
3. Dispatch and delivery within India
- Goods are dispatched from our works or from a nominated sub-supplier or sub-contractor's premises.
- We deliver by road freight, rail freight or courier as appropriate to the size, weight and urgency of the consignment, using commercial carriers.
- Where you nominate a carrier or arrange your own collection, delivery is complete when the goods are made available for collection, and the carrier's performance is your responsibility.
- We provide a delivery note or dispatch documentation with each consignment, and consignment or tracking details where the carrier supplies them.
- Deliveries are made on business days during normal working hours. Site deliveries requiring escorted access, permits, restricted hours, depot induction or special offloading equipment must be arranged in advance.
- You are responsible for providing safe access and suitable means of offloading at the delivery point, unless offloading is expressly included in our scope.
4. International delivery
- The delivery term for an international shipment is the Incoterms® rule stated in the quotation or order confirmation. Where no term is stated, supply is Ex Works (EXW) from our nominated dispatch point.
- The stated Incoterms rule determines who arranges and pays for carriage, insurance, export and import clearance, and where risk transfers.
- Unless the agreed term places the obligation on us, customs duties, import taxes, clearance charges, port and demurrage charges, and any local levies in the destination country are the Customer's responsibility.
- We provide the commercial invoice, packing list and, where applicable, certificate of origin, material and conformity certificates, and dangerous-goods documentation.
- You are responsible for telling us of any destination-country import restriction, marking, labelling, certification or documentation requirement that we would not otherwise know.
5. Export control and sanctions
Goods, technical data and services for railway and aerospace applications may be subject to export control, licensing or sanctions regimes. We may be required to obtain an authorisation before shipping, and we may delay, decline or cancel a shipment where a required authorisation is refused or where shipping would breach applicable law. Where that happens we will refund sums paid for the affected undelivered goods, less costs we cannot recover, in accordance with our Refund Policy. You must not re-export goods supplied by us in breach of any applicable control.
6. Packing
Goods are packed to a standard appropriate to the part and the transport mode, protecting machined and precision surfaces against damage and corrosion. Where you require a specific packing standard, preservation method, heat-treated timber, export-grade crating, anti-static or returnable packaging, please state it at enquiry stage so it can be priced — it is not included unless quoted.
7. Shipping charges
- Freight, packing and insurance charges are quoted per order. They are not fixed, because they depend on weight, dimensions, destination, transport mode and urgency.
- Where a quotation states a price as exclusive of freight, freight is invoiced in addition, at cost or as quoted.
- GST and other applicable taxes are charged on freight in accordance with tax law.
- Charges arising from a failed delivery attempt, refused delivery, incorrect or incomplete delivery address supplied by you, waiting time, re-delivery or storage are payable by the Customer.
8. Part shipments
Where an order covers multiple items or a call-off schedule, we may deliver in instalments and invoice each instalment separately, unless the order says otherwise. A delay affecting one instalment does not entitle you to cancel the balance of the order.
9. Title and risk
Risk in the goods passes at the point determined by the agreed delivery term or Incoterms rule. For domestic deliveries where no term is stated, risk passes on delivery to the address you specified, or on collection where you collect.
Title does not pass until we have received payment in full for the goods, notwithstanding that risk may already have passed. Until title passes you must store the goods so they remain identifiable as ours and keep them insured.
10. What to check on delivery
Please check every consignment on arrival, before signing for it where possible:
- the number of packages against the delivery note or packing list;
- visible damage to packaging or goods;
- the part numbers, revisions and quantities supplied.
Note any visible damage or shortage on the carrier's delivery documentation at the time of delivery, and tell us within the windows set out in our Return Policy — 48 hours for visible transit damage, 7 days for shortage or wrong item. Carriers apply strict time limits to claims, and a late notification can defeat an otherwise valid claim. Please keep the original packaging and photographic evidence until the claim is settled.
11. Insurance
Transit insurance is arranged where the agreed delivery term requires it of us, or where you ask us to arrange it and it has been quoted. Where the delivery term places risk with you, arranging insurance is your responsibility. Carriers' standard liability is typically limited by weight and is usually well below the value of engineered components — so please consider whether separate all-risks cover is appropriate for the consignment.
12. Installation and commissioning
Delivery of goods does not include installation, commissioning or on-site work unless our quotation says so. Where installation or commissioning is in scope, site access, permits, safe working conditions, isolation of the asset, power supply and any required possession or track-access arrangements are the Customer's responsibility unless expressly agreed otherwise, and delays caused by their absence may be chargeable.
13. Delays outside our control
We are not liable for delay caused by an event beyond our reasonable control, as described in clause 12 (Force majeure) of our Terms and Conditions. This includes carrier and port disruption, customs delay, weather, strike or industrial action, and sub-supplier failure for such a reason.
